1. Who we are, and what these Terms cover

NoyMed Academy is a certification training provider for clinical research professionals. It is a training and certification program operated by NoyMed Corp, a company registered in California, United States ("NoyMed", "we", "us", "our"). NoyMed Academy is not a separate legal entity; your agreement is with NoyMed Corp.

These Terms of Service ("Terms") govern your use of the NoyMed Academy website, account portal, learning content, assessments, and certification programs (together, the "Service").

By creating an account or otherwise using the Service, you confirm that you have read and accept these Terms and our Privacy Policy, which explains how we handle your personal data and forms part of your agreement with us.

If you do not accept these Terms, do not create an account or use the Service.

Definitions used in these Terms

  • Program - one of our structured certification tracks (for example, Certified Data Manager), consisting of lessons, module assessments, and a final exam.
  • Assessment - any module assessment, quiz, or final exam within a Program.
  • Certification - a credential issued by NoyMed Academy on successful completion of a Program.
  • Your Content - anything you submit through the Service, including profile information, assessment answers, and contact messages.

2. Eligibility

To use the Service you must:

  • be at least 18 years old, or the age of majority in your place of residence if that is higher;
  • have the legal capacity to enter into a binding agreement; and
  • not be prohibited from using the Service under any law that applies to you.

You are responsible for complying with the laws of your own country when you use the Service. We may decline to provide the Service where we are not permitted to do so.

We do not knowingly provide the Service to anyone under 18. If we learn that an account belongs to someone under 18, we will close it and delete the associated personal data.

3. Your account

  • Registration is open to anyone who meets the eligibility requirements above. You do not need to be employed in clinical research to register.
  • You must provide accurate, current, and complete information when you register, and keep it up to date. Your profile is used for the purposes described in section 9, so accuracy matters.
  • You must verify your email address before you can enroll in a Program. Account creation alone does not give you access to Program content.
  • One account per person. Creating or operating more than one account is a breach of these Terms and may result in suspension of all accounts concerned and revocation of any Certification obtained through them.
  • You are responsible for all activity under your account and for keeping your sign-in credentials secure. Tell us promptly at legal@noymed.com if you believe your account has been accessed without your authorization.
  • You may not sell, transfer, share, or license your account to anyone else.

4. Cost, and future fees

Enrollment in our Programs is currently free. There is no payment step and no payment card is required.

We may introduce fees for new Programs, for optional features, or for re-issued or physical certificates in the future. If we do:

  • we will state the price clearly before you incur any charge;
  • no fee will ever be applied to a Program in which you are already enrolled, or to a Certification you have already earned; and
  • nothing in these Terms authorizes us to charge you without your express agreement at the point of purchase.

5. Enrollment and Programs

  • You may be enrolled in one Program at a time. To switch tracks, cancel your current enrollment and enroll in the new one.
  • You may re-enroll in a Program you previously canceled or completed. Re-enrolling does not entitle you to a second Certification for the same Program (see section 7).
  • Programs are self-paced. There is no fixed start date, cohort, or deadline, and we do not guarantee that any Program will remain available indefinitely.
  • We may add, update, restructure, reschedule, or withdraw Programs and their content at any time. Where we withdraw a Program in which you are actively enrolled, we will give you reasonable notice and, where practical, a route to complete it or transfer to a comparable Program.
  • Updating a Program's content does not affect the validity of a Certification already issued for that Program.
  • Access to a Program is granted to you personally. You may not provide access to anyone else, or use the Service to deliver training to third parties.

6. Assessments, exams, and academic integrity

Certifications are only meaningful if the assessments behind them are. You agree that, in connection with any Assessment, you will not:

  • have another person take, or assist you with, an Assessment, or take one on another person's behalf;
  • copy, photograph, record, transcribe, republish, or otherwise disclose exam questions, answers, or any part of an Assessment's contents;
  • obtain or use exam content, answer keys, or compiled question banks obtained from any source outside the Service;
  • use generative AI tools, or any other automated or external assistance, to produce or assist with your answers. Assessments must reflect your own knowledge. You are welcome to use AI tools to help you learn from the lesson material; you may not use them to answer an Assessment;
  • use any automated means to complete, submit, or attempt Assessments; or
  • interfere with, tamper with, or attempt to circumvent the delivery, timing, scoring, or integrity controls of any Assessment.

Retakes. There is no limit on the number of times you may attempt an Assessment. If you do not pass, you may review the material and try again. We may apply a short cooling-off period between attempts, and may vary the questions presented on each attempt.

Consequences. Where we reasonably believe an integrity rule has been breached, we may - proportionately to the conduct - issue a warning, void the Assessment result, bar further attempts at that Program, revoke any Certification obtained, and/or suspend or terminate your account. We will follow the process in section 7 before revoking a Certification.

7. Certifications

Issuance. We issue a Certification when you meet a Program's stated requirements, which include passing its final exam. A Certification is issued once per Program per person.

Duration. Certifications do not currently expire and are retained permanently in our register, subject to revocation under this section. We may in future introduce recertification or continuing-education requirements for newly issued Certifications; any such requirement will be stated clearly at the point of enrollment and will not be applied retrospectively to Certifications already issued.

Accreditation status. Our Certifications are issued by NoyMed Academy and are not accredited by, endorsed by, or affiliated with any external accrediting body, professional association, or regulatory authority. We may seek accreditation as our curricula mature, and will update our materials if that changes. You must not represent a NoyMed Academy Certification as an accredited, licensed, or regulator-recognized qualification.

How you may describe your Certification. You may state that you hold a NoyMed Academy Certification in a named Program, on your CV, professional profiles, and similar. You must describe it accurately, must not alter a certificate, and must not use it to imply employment by, or a partnership with, NoyMed.

Revocation. We may revoke a Certification obtained through fraud, misrepresentation, impersonation, breach of section 6, or a material breach of these Terms. Before revoking, we will:

  1. notify you at your registered email address, setting out the grounds;
  2. give you 14 days to respond and provide any explanation or evidence; and
  3. tell you our decision in writing, with reasons.

You may appeal a revocation once, within 30 days of the decision, by writing to legal@noymed.com. An appeal will be reviewed by someone who was not involved in the original decision. A revoked Certification is marked as revoked in the verification register described in section 8.

8. Certificate verification - please read carefully

We operate a public verification page at academy.noymed.com/verify/ so that employers and others can confirm a Certification is genuine.

By earning a Certification, you accept that the following will be publicly available through that page: your name as it appears on the certificate, the Program certified, the issue date, and the certificate's current status (valid or revoked).

Two things to understand before you enroll:

  • The verification record is public. By default it can be found either by certificate serial number or by searching the holder's name.
  • The verification record for a Certification you have earned is retained even if you later delete your account, so that the credential remains verifiable. Deleting your account removes your profile and enrollment data but does not withdraw a certificate you have already earned from the register. This is explained in the Privacy Policy.

Your control over public listing. You may ask us at any time, including after deleting your account, to remove your certificate from name-based search. Write to legal@noymed.com. If you do, your certificate will remain verifiable by anyone you give the serial number to, but will no longer be discoverable by searching your name. We will action such a request within 30 days.

9. Recruitment by NoyMed

One of the reasons NoyMed Academy exists is to identify and develop people for roles on NoyMed's studies. We want you to understand this clearly rather than discover it later.

What happens. The professional profile you build, and - as Programs mature - your performance in them, may be reviewed by NoyMed's recruitment function, and we may contact you about job opportunities. This most often happens after you earn a Certification, and may happen earlier where your profile indicates a strong fit.

How candidates are identified. We use a combination of automated flagging and human review. Automated flagging surfaces profiles that may match an open role, based on the information you provide - such as your stated discipline, experience, and areas of interest - and on your Program progress and Assessment results. No decision about you is made solely by automated means. A member of our recruitment team reviews every profile before any contact is made, and you can ask us to explain or reconsider any recruitment-related processing by writing to legal@noymed.com.

Legal basis. We process your data for this purpose on the basis of our legitimate interest in operating a talent pipeline for our own studies, which we have balanced against your interests and rights. Where local law requires your consent instead, we will ask for it separately.

Your control over this. You can object to the use of your data for recruitment at any time by writing to legal@noymed.com. Objecting will not affect your access to Programs, your Assessments, or your Certifications, and is not a condition of holding an account.

No offer of employment. Nothing in the Service, in any Program, or in any Certification is an offer of employment, a promise of an interview, or a guarantee of any recruitment outcome. Any employment relationship would be governed by a separate agreement.

10. Acceptable use

You agree not to:

  • use the Service for any unlawful purpose, or in breach of any applicable law or regulation;
  • misuse, disrupt, overload, or interfere with the Service or the networks and systems that support it;
  • access, or attempt to access, any account, data, or part of the Service that you are not authorized to use;
  • probe, scan, or test the vulnerability of our infrastructure, or breach or circumvent any security or authentication measure, except under a written authorization from us;
  • scrape, crawl, harvest, bulk-download, index, or systematically copy any part of the Service or its content;
  • use bots, scripts, or other automated means to access the Service, other than well-behaved search engine crawlers acting in accordance with our robots directives;
  • reverse engineer, decompile, or attempt to derive the source code of any part of the Service, except to the extent this restriction is prohibited by law;
  • resell, sublicense, rent, or commercially exploit the Service or its content;
  • misrepresent your identity, affiliation, qualifications, or credentials, or impersonate anyone;
  • upload malware or anything designed to harm the Service or its users; or
  • submit content that is unlawful, defamatory, harassing, or infringes anyone's rights.

The integrity rules in section 6 apply in addition to this section.

11. Your Content

You keep ownership of Your Content. You grant us a non-exclusive, worldwide, royalty-free license to host, store, reproduce, adapt, and display Your Content for the purposes of operating, securing, and improving the Service, administering and scoring Assessments, issuing and verifying Certifications, responding to your messages, and the recruitment purpose described in section 9. This license lasts as long as we retain the relevant content under our Privacy Policy, and ends when the content is deleted, except where we are required to retain it or where it has been incorporated into a Certification record.

We may sublicense this license to our service providers only to the extent needed to deliver the Service on our behalf.

We do not use your Assessment answers or your messages to us to train machine-learning or AI models, and we do not permit our service providers to do so.

Aggregated and anonymised data. We may produce aggregated, de-identified statistics from Program and Assessment data - for example, average pass rates or common areas of difficulty - and use them to improve our curricula and report on the Service. Such data does not identify you.

You are responsible for Your Content, and you confirm that you have the rights necessary to submit it and that it does not infringe anyone else's rights.

Feedback. If you send us suggestions or ideas about the Service, we may use them freely and without obligation to you. You are not required to send us feedback.

12. Our intellectual property

The Service and its content - including curricula, lessons, Assessments, text, graphics, layouts, software, and the NoyMed and NoyMed Academy names and logos - are owned by NoyMed or its licensors and are protected by intellectual property laws.

We grant you a limited, personal, non-exclusive, non-transferable, revocable license to access and use the content for your own professional learning only. You may not copy, distribute, publish, adapt, or use it commercially, or on behalf of an employer or client, without our written permission. All rights not expressly granted are reserved.

13. Third-party services

The Service relies on third-party providers for hosting, authentication, and related infrastructure. These providers are identified in our Privacy Policy. If you sign in using a Google account, your use of that sign-in is also governed by Google's own terms and privacy policy. We are not responsible for third-party services, and their availability is outside our control.

The Service may link to third-party websites. We do not control or endorse them.

14. Suspension and termination

By you. You may stop using the Service at any time, and may delete your account from Settings. Deletion is described in section 15.

By us. We may suspend or terminate your access to all or part of the Service, or revoke a Certification under section 7, where:

  • you materially breach these Terms;
  • we reasonably believe your use poses a security, legal, or integrity risk to the Service, to us, or to other users; or
  • we are required to do so by law.

Except where doing so would be unlawful, would compromise an investigation, or where the risk requires immediate action, we will give you notice and, for breaches capable of being put right, a reasonable opportunity to do so. We will explain the reason for a suspension or termination on request.

Effect. On termination, your right to access the Service ends and your enrollment is canceled. Sections 7, 8, 11, 12, 17, 18, 19, 21, and 22 survive termination.

15. Account deletion

You may delete your account from Settings. Before you confirm, you will see a summary of exactly what happens. In outline, deletion removes your profile and enrollment records and your sign-in credentials, retains any Certification you have earned so that it remains verifiable (see section 8), and writes a de-identified deletion record. The full detail, including retention periods, is in the Privacy Policy.

Deleting your account does not by itself withdraw a Certification from the public verification register. You may separately ask us to remove it from name-based search, as described in section 8.

16. Availability and changes to the Service

We aim to keep the Service available but do not guarantee uninterrupted access. We may modify, suspend, or discontinue any part of the Service, including Programs and features, and may carry out maintenance with or without notice. Where a change materially reduces the Service for learners who are actively enrolled, we will give reasonable advance notice where we can.

17. Disclaimers

The Service is provided "as is" and "as available". To the fullest extent permitted by law, we exclude all warranties, conditions, and representations not expressly set out in these Terms, including any implied warranty of merchantability, fitness for a particular purpose, accuracy, or non-infringement.

In particular:

  • Program content is provided for professional education only. It is not legal, regulatory, medical, clinical, or professional advice, and must not be relied on as a substitute for applicable regulations, protocols, sponsor requirements, SOPs, or qualified professional judgment in the conduct of a clinical trial.
  • We do not warrant that content is complete, current, or free of error, or that it reflects the requirements of any particular regulator or jurisdiction.
  • We do not warrant that the Service will be uninterrupted, secure, or error-free, or that defects will be corrected.
  • We do not guarantee any employment, interview, salary, career, or recruitment outcome.

Nothing in this section limits any right you have under mandatory consumer protection law that cannot lawfully be excluded.

18. Limitation of liability

Nothing in these Terms excludes or limits our liability for: death or personal injury caused by our negligence; fraud or fraudulent misrepresentation; or any other liability that cannot lawfully be excluded or limited.

Subject to that, and to the fullest extent permitted by law:

  • NoyMed will not be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, goodwill, employment, or business or career opportunity, however caused.
  • Our total aggregate liability arising out of or in connection with these Terms or your use of the Service, whether in contract, tort (including negligence), or otherwise, will not exceed the greater of (a) the total amount you have paid us in the twelve months before the claim arose and (b) US$100.

If you are a consumer, these limits apply only to the extent permitted by the consumer protection law of your country of residence, and do not affect your statutory rights.

19. Indemnity

You agree to indemnify us against any claim, loss, liability, or reasonable cost we incur arising from your breach of these Terms, your misuse of the Service, or your infringement of a third party's rights. This section does not apply where you are using the Service as a consumer, and does not apply to the extent the claim results from our own breach or negligence.

20. Changes to these Terms

We may update these Terms as the Service develops. When we do, we will change the version number and "last updated" date at the top of this page.

For material changes - for example changes to how recruitment works, to the verification register, to fees, or to your rights or liability - we will notify registered users by email at least 30 days before the change takes effect, and will ask you to accept the updated Terms where your acceptance is required.

For non-material changes, your continued use of the Service after the effective date constitutes acceptance. If you do not accept an updated version, you may delete your account before it takes effect.

21. Governing law and disputes

These Terms and any dispute arising from them are governed by the laws of the State of California, United States, without regard to its conflict of laws rules. The state and federal courts located in California have exclusive jurisdiction, subject to the paragraph below.

If you are a consumer resident in the EU/EEA or the United Kingdom, nothing in this section deprives you of the protection of the mandatory laws of your country of residence, or of your right to bring proceedings in the courts of that country.

Informal resolution first. Before starting formal proceedings, please contact us at legal@noymed.com and allow us 30 days to try to resolve the matter with you. Most issues can be settled this way.

22. General

  • Entire agreement. These Terms and the Privacy Policy are the entire agreement between you and us about the Service, and replace any earlier version, including the draft dated 27 August 2026.
  • Severability. If any provision is found unenforceable, the rest remains in force and the provision is applied as far as it lawfully can be.
  • No waiver. If we do not enforce a right, we do not waive it.
  • Assignment. You may not transfer your rights under these Terms. We may transfer ours to an affiliate or in connection with a reorganisation, merger, or sale of the business, provided your rights are not reduced.
  • Force majeure. Neither party is liable for failure to perform caused by events beyond its reasonable control.
  • Notices. We will send notices to your registered email address; it is your responsibility to keep it current. You may send us notices at legal@noymed.com.
  • Relationship. Nothing in these Terms creates a partnership, agency, employment, or joint venture between you and us.
